1. Agreement to Terms
By accessing and engaging XEV Group's services, you agree to be bound by these Terms and Services. These terms apply to all visitors, users, and others who access or use our services.
If you disagree with any part of these terms, you may not access our services.
2. Services Description
XEV Group provides comprehensive digital marketing and internet marketing services including but not limited to:
- Digital marketing strategy and consultation
- Search engine optimization (SEO)
- Social media marketing and management
- Content creation and marketing
- Email marketing campaigns
- Brand development and strategy
- Analytics and performance tracking
- Paid advertising management (PPC, social ads)
3. Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for service delivery
- Grant timely access to necessary accounts, platforms, and materials
- Provide prompt feedback and approvals when requested
- Maintain ownership and responsibility for all account credentials
- Comply with all applicable laws and platform policies
- Ensure all provided content does not infringe on third-party rights
4. Payment Terms
All fees are due as specified in the service agreement. Payment terms include:
- Initial setup fees are due before work commences
- Monthly retainer fees are due on the 1st of each month
- Project-based fees follow the payment schedule outlined in the proposal
- Late payments may incur a 1.5% monthly interest charge
- Services may be suspended for accounts 30+ days past due
- All prices are in USD unless otherwise specified
5. Service Level & Deliverables
XEV Group commits to:
- Deliver services in a professional and timely manner
- Provide regular reporting as outlined in the service agreement
- Respond to client inquiries within 24-48 business hours
- Maintain confidentiality of client information
- Use industry best practices and ethical marketing techniques
However, we do not guarantee specific results, rankings, or revenue outcomes as these depend on numerous factors outside our control.
6. Intellectual Property
Upon full payment, clients retain ownership of:
- All custom content created specifically for the client
- Campaign materials and creative assets
- Strategy documents and reports
XEV Group retains ownership of:
- Proprietary methodologies, processes, and tools
- Pre-existing templates and frameworks
- The right to showcase work in our portfolio (with client approval)
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business strategies, financial information, customer data, and any information marked as confidential. This obligation continues for 2 years after termination of services.
8. Contract Duration & Termination
Service agreements typically include:
- Initial term as specified in the service agreement (commonly 3-12 months)
- Either party may terminate with 30 days written notice
- Clients remain responsible for payment through the notice period
- Early termination without cause may result in early termination fees
- Upon termination, all client materials will be returned within 14 days
- Access to accounts and platforms will be transferred back to client
9. Limitation of Liability
XEV Group shall not be liable for:
- Changes to search engine algorithms or social media platform policies
- Account suspensions by third-party platforms
- Loss of data due to platform changes or technical issues
- Indirect, consequential, or incidental damages
- Lost profits or business opportunities
Our total liability shall not exceed the fees paid by the client in the 6 months preceding the claim.
10. Warranties & Disclaimers
We warrant that:
- Services will be performed professionally and competently
- We have the right to provide the services offered
- Services will comply with applicable laws and regulations
However, services are provided "as is" without guarantees of specific results. Digital marketing outcomes depend on many factors including market conditions, competition, budget, and client cooperation.
11. Refund Policy
Our refund policy is as follows:
- Setup fees and completed work are non-refundable
- Monthly retainers are non-refundable once the service month begins
- Unused portions of prepaid services may be refunded at our discretion
- Ad spend and third-party platform fees are non-refundable
- Disputes must be raised within 30 days of the invoice date
12. Third-Party Services
We may utilize third-party tools, platforms, and services to deliver our services. These may include analytics platforms, advertising networks, email service providers, and other marketing tools. Clients may be required to agree to the terms of these third-party services. We are not responsible for the actions, policies, or service interruptions of third-party providers.
13. Data Protection & Privacy
XEV Group is committed to protecting client data:
- We comply with applicable data protection laws (GDPR, CCPA, etc.)
- Client data is stored securely and encrypted where appropriate
- We only collect data necessary for service delivery
- Data is not shared with third parties except as necessary for services
- Clients have the right to request data deletion upon termination
14. Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, internet or utility failures, or other unforeseeable events.
15. Modifications to Terms
XEV Group reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of services after changes constitutes acceptance of the modified terms. Material changes will be communicated to active clients via email.
16. Governing Law & Dispute Resolution
These terms shall be governed by the laws of the jurisdiction in which XEV Group operates. Any disputes shall be resolved through:
- Good faith negotiation between parties
- Mediation if negotiation fails
- Binding arbitration if mediation is unsuccessful
- Each party bears their own legal costs unless otherwise determined
